These Terms of Service ("Terms") govern your use of the alaivOS mobile application and related services operated by Citerius Holdings LLC, doing business as alaivOS ("we," "us," "our"). By using alaivOS, you agree to these Terms.
01 The Service
alaivOS is a mobile application that helps you organize and manage various aspects of your daily life, including calendar events, finances, health tracking, meal planning, projects, and more. The application uses on-device artificial intelligence and optional cloud services to provide personalized assistance.
02 Account Registration
To use alaivOS beyond the Starter tier, you must create an account with a valid email address. You are responsible for maintaining the security of your account credentials. You must be at least 16 years old to create an account. alaivOS integrates health, financial, and AI features that are not appropriate for younger users. If you are under 18, you must have parental or guardian consent. We do not knowingly allow users under 16 to register. If we discover an account belongs to a user under 16, we will immediately terminate the account and delete all associated cloud data.

All activations include a 21-day free trial (14 days Pro + 7 days Elite — guaranteed for all users) powered by on-device AI. Referrals can extend up to 28 days total. After the trial, you choose a plan or revert to Starter. Subscription pricing may vary by region and is subject to change with 30 days' notice.
Annual Billing
Annual subscriptions are billed as "pay for 10 months, get 12" (approximately 16.7% savings). Annual billing is processed through the Apple App Store or Google Play Store.
Auto-Renewal
Subscriptions auto-renew at the end of each billing period unless you cancel at least 24 hours before the renewal date. You can manage and cancel your subscription through your device's app store settings.

The following add-on services are billed separately through our website (alaivos.com/billing) via Stripe:

Elite Tier Bundled Add-Ons
The Elite tier includes at no additional charge: one bank connection, Ghost base credits (50 Deferred / 20 Instant), cross-module insights, and advanced data exports. Additional bank connections and Ghost credit upgrades remain available as paid add-ons.
05 Group Plans
You may add other people to your subscription plan at 50% of your tier price per person, up to 5 additional members (6 total per group). Group members receive their own independent account with their own data, AI, and encryption keys.

The group creator is responsible for payment of all group members on their plan. Creating or joining a group does not require a group plan — users with their own subscriptions may participate using their existing subscription.
06 Free Trial
Every new user receives a guaranteed 21-day free trial in two phases. The first 14 days unlock Pro-tier features automatically. On Day 14, the mandatory progressive interview unlocks 7 additional days of Elite-tier features — this cannot be skipped or dismissed. No credit card required. No Ghost access during trial (on-device AI only). Referrals can extend by up to 7 more days (28 total). No credit card required. After the trial expires, your account reverts to the Starter tier unless you subscribe.
During the trial, the following are not included: Ghost Protocol and live bank connections.
07 Refunds
Subscription refunds are handled by the Apple App Store or Google Play Store according to their respective refund policies. Add-on refunds for web-billed services may be requested by contacting support@alaivos.com within 14 days of purchase.
08 Health and Medical Disclaimer
alaivOS, including its AI assistant Laiv, is not a medical device, healthcare provider, or clinical tool. The application does not provide medical advice, diagnosis, prognosis, or treatment recommendations.
Health-related features — including medication reminders, health reading tracking, pregnancy tracking, baby care logging, mood tracking, nutrition information, fitness recovery estimates, and symptom tracking — are provided for personal organizational and informational purposes only.
You should not rely on alaivOS to make medical decisions. Always seek the advice of your physician, obstetrician/gynecologist, pediatrician, licensed mental health professional, or other qualified healthcare provider with any questions regarding a medical condition.
If you think you may have a medical emergency, call your doctor, go to the nearest emergency department, or call your local emergency number immediately. alaivOS does not provide emergency medical services.
Nutrition information is based on general databases (USDA FoodData Central) and is approximate. It does not account for individual medical conditions, allergies, drug interactions, or specific dietary needs.
By using health-related features in alaivOS, you acknowledge that the application is not a substitute for professional medical advice, diagnosis, or treatment.
09 Capsules and User-Generated Content
Using Capsules
Capsules (.alaiv files) are structured data files that guide you through activities such as recipes, workouts, and study sessions. Capsules are data-only and contain no executable code. alaivOS validates Capsule format but does not guarantee the accuracy, safety, or appropriateness of Capsule content created by third parties. You use third-party Capsules at your own risk.
Creating Capsules
When you create and publish Capsules, you represent that the content is your original work or you have the right to share it, the content does not violate any laws or infringe on third-party rights, exercise and health content includes appropriate safety warnings, and you are solely responsible for the accuracy and safety of your content.
We reserve the right to remove Capsules that violate these Terms or that we determine to be harmful, misleading, or inappropriate.
Future Marketplace Revenue Sharing
We may in the future offer paid Capsules in our Marketplace with a revenue sharing arrangement between creators and alaivOS. The terms of such arrangements will be provided separately to participating creators.
10 Ghost Protocol
Ghost Protocol routes AI queries through our private servers running open-source AI models. We do not log, store, or analyze your queries or the AI responses generated through Ghost Protocol.
Ghost Protocol uses a credit-based model. Credits are the only gate — all capabilities are available at every Ghost tier. Delivery times vary based on server load and are not guaranteed.
Ghost Protocol is designed to provide an alternative to third-party cloud AI services. It is not a guarantee of absolute privacy or anonymity. While we take reasonable measures to protect your data, no system is perfectly secure.
11 Referral Program
When a referred user subscribes to a paid plan, both the referrer and the referred user receive one free month of their respective subscription tiers, subject to:
- A maximum of 12 referral rewards per user per year
- Referral rewards cannot be exchanged for cash
- We reserve the right to modify or terminate the referral program at any time
- Abuse of the referral program (including creating fake accounts) will result in forfeiture of rewards and potential account termination
12 Affiliate Program
Content creators and influencers may apply to participate in our affiliate program, which offers commission-based compensation for referred subscribers. Affiliate terms are governed by a separate Affiliate Agreement provided to participants.
13 Acceptable Use
You agree not to:
- Use alaivOS for any illegal purpose
- Attempt to reverse engineer, decompile, or extract source code from the application
- Attempt to circumvent subscription restrictions or manipulate billing
- Share your account credentials with others or create accounts for others without their consent
- Use the application to harass, threaten, or harm others
- Upload Capsules containing malicious content, harmful instructions, or misleading health information
- Use automated tools or scripts to interact with the service
14 Intellectual Property
The alaivOS application, including its design, code, AI models, and branding, is the property of Citerius Holdings LLC. The .alaiv file format is our proprietary format.
Content you create within alaivOS (notes, events, projects, Capsules) remains your property. By publishing Capsules to the Marketplace, you grant us a non-exclusive license to distribute that content through our platform.
15 Limitation of Liability
To the maximum extent permitted by law, Citerius Holdings LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of alaivOS, including but not limited to loss of data, inaccurate health information, missed medication reminders, financial losses from budget tracking inaccuracies, or service interruptions affecting Ghost Protocol or cloud sync.
Our total liability for any claim related to the service shall not exceed the amount you paid us in the 12 months preceding the claim.
16 Disclaimer of Warranties
alaivOS is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the service will be uninterrupted, error-free, or free of harmful components. AI-generated content, including suggestions, analyses, and responses from Laiv, may contain errors and should not be relied upon as the sole basis for important decisions.
16B Artificial Intelligence Disclaimer
Laiv and all AI features within alaivOS generate responses probabilistically. Outputs may be inaccurate, incomplete, or misleading. Never rely solely on AI-generated content for medical, financial, legal, or safety-critical decisions.
AI processing in alaivOS occurs primarily on-device using local language models. When Ghost Protocol is enabled, queries are routed to our private servers running open-source models. In either case, AI outputs are provided strictly "as-is" without warranty of accuracy, completeness, or fitness for any purpose.
By using AI features in alaivOS, you acknowledge that: (a) AI outputs are not professional advice of any kind; (b) you assume full responsibility for decisions made based on AI outputs; and (c) Citerius Holdings LLC's total liability for any harm arising from AI outputs is limited as described in Section 15.
17 Privacy
Your use of alaivOS is also governed by our Privacy Policy, available at alaivos.com/privacy. The Privacy Policy is incorporated into these Terms by reference.
18 Termination
You may terminate your account at any time by deleting your account through the app settings. We may suspend or terminate your account if you violate these Terms or engage in conduct that we determine is harmful to other users or to our service.
Upon termination, your local data remains on your device. Cloud-synced data will be deleted within 30 days of account termination.
19 Governing Law and Disputes
These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles. Any disputes arising from these Terms or your use of alaivOS shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in the State of Wyoming.
EU/UK users: If you reside in the European Union or United Kingdom, mandatory consumer protection laws in your country of residence may apply and cannot be waived by contract. Nothing in these Terms limits your right to bring legal proceedings before the competent courts of your country of residence or to benefit from statutory consumer rights that cannot be excluded under applicable law.
DMCA / Copyright Takedowns
If you believe content in the alaivOS Capsule Marketplace infringes your copyright, send a notice to support@alaivos.com including: (a) identification of the copyrighted work; (b) identification of the infringing material and its location; (c) your contact information; (d) a statement of good faith belief; and (e) a statement of accuracy under penalty of perjury. We will respond within 14 business days. Counter-notification rights apply as provided by 17 U.S.C. § 512(g).
20 Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes through the app or by email at least 30 days before the changes take effect. Your continued use of alaivOS after changes take effect constitutes acceptance of the updated Terms.
